Samsung SDI to Sell 13.09 Million Samsung Display Shares for 4.45 Trillion Won to Fund Future Growth Engines

Samsung SDI Co. (Samsung SDI) will sell 13.09 million shares in affiliate Samsung Display Co. (Samsung Display) at 340,000 won apiece, a transaction worth 4.45 trillion won ($3.22 billion), the battery maker said in a regulatory filing on August 21, 2026. The block represents about 33 percent of Samsung SDI's current holdings in the display maker, and Samsung Display itself will buy the shares as treasury stock. Following the transaction, scheduled for Thursday, Samsung SDI's ownership in Samsung Display will fall from 15.2 percent to 10.2 percent, while the proceeds are earmarked to finance investments aimed at securing future growth engines, including next-generation battery technologies and manufacturing capacity.

Why the stake is being sold

The battery maker said proceeds from the sale will be used to finance investments aimed at securing future growth engines. The move comes as Samsung SDI continues to invest heavily in next-generation battery technologies and manufacturing capacity amid intensifying competition in the global battery industry, and the stake sale converts part of an existing financial holding into funding for that programme.

Synergy Cells: the Indiana plant in focus

The company did not provide further details on the specific projects that will be financed with proceeds from the transaction, but industry observers say the cash could be directed first toward Synergy Cells, its battery plant under construction in New Carlisle, Indiana.

The story of the Indiana operation follows three steps:

  1. Synergy Cells was established in 2024 as a joint venture between Samsung SDI and General Motors;
  2. Samsung SDI recently agreed to take over General Motors' entire stake in the joint venture, giving the Korean battery maker full control of the operation;
  3. the battery maker plans to use the Indiana plant to address a broader range of demand, including energy storage systems and electric vehicle batteries.

With full control of the joint venture, the New Carlisle site becomes a wholly directed platform for the two demand pools named by the company: energy storage systems and electric vehicle batteries. That is why observers treat the plant as the first candidate for the cash released by the stake sale.

Ownership before and after the transaction

Samsung SDI currently holds 39.86 million shares in Samsung Display, a display-making affiliate of Samsung Electronics. The 13.09 million shares offered for sale correspond to about 33 percent of that holding, and once the repurchase completes, the remaining stake leaves Samsung SDI with ownership of 10.2 percent instead of 15.2 percent.

The counterparty structure matters for how the change should be read: the shares do not pass to an outside investor but return to Samsung Display as treasury stock, so the display maker itself funds the buyback while Samsung SDI monetises part of its position. The company added that the final number of shares and value could change during the repurchasing process, so the announced 13.09 million shares and 4.45 trillion won describe the transaction as disclosed, not a fixed end result.
